SummitOS Controlled Paid Pilot — Terms of Service (Draft)

SummitOS by NEXORA Technologies Corp. | Status: Draft Under Legal Review | Effective Date: Pending Pilot Ratification
Note: These draft terms apply specifically to the SummitOS Controlled Paid Pilot. For general NEXORA corporate website terms, see nexorayyc.io/terms.

1. Acceptance of Pilot Terms

These Draft Terms of Service ("Terms") describe the proposed commercial and operational terms between NEXORA Technologies Corp. ("NEXORA", "we", "us", or "our"), a corporation registered in the Province of Alberta, Canada, and the business entity ("Customer", "you", or "your") participating in the SummitOS Controlled Paid Pilot (the "Service"). Participation in the Controlled Paid Pilot is by application only and requires NEXORA review and acceptance before billing or workspace provisioning.

2. Description of the Service

SummitOS is a cloud-based operations, estimating, and supplier price-impact platform built for specialty trade contractors. Capabilities include supplier price list ingestion, estimate impact analysis, purchase order management, estimate generation, and job tracking, with database-level tenant isolation using PostgreSQL Row-Level Security (RLS).

3. Pilot Application, Review and Workspace Onboarding

Submitting a pilot inquiry does not create a subscription, guarantee acceptance, or automatically activate a workspace. Each prospective pilot participant is reviewed by NEXORA. Commercial terms, scope, and onboarding requirements are disclosed and agreed prior to workspace activation. You agree to: (a) provide accurate business information; (b) maintain the security and confidentiality of your credentials; and (c) accept responsibility for activities conducted under your organization's tenant workspace.

4. Proposed Controlled Paid Pilot Tiers

SummitOS is offered for Controlled Paid Pilot participation under the following proposed commercial tiers (in Canadian Dollars, tax-exclusive):

  • Foundation Pilot: Proposed pilot subscription of CAD $299/month (up to 10 active contractor seats; estimating, BOM engine, POs, work orders, and CRM).
  • Live Intelligence Pilot: Proposed pilot subscription of CAD $599/month (up to 25 active contractor seats; includes supplier catalog ingestion, automated margin risk & impact analysis, and Priority Pilot Onboarding & Engineering Support).
  • Enterprise Pilot: Custom pricing / by agreement (unlimited seats, multi-branch hierarchy, and custom ERP/accounting integrations).

All three tiers require NEXORA review and acceptance before billing or provisioning. Public self-service checkout and automatic tenant provisioning are not enabled during the Controlled Paid Pilot.

5. Pilot Onboarding & Engineering Support

Each approved pilot participant receives reviewed pilot onboarding and assisted workspace setup. Live Intelligence Pilot participants receive Priority Pilot Onboarding & Engineering Support. Any custom implementation or data migration services are scoped and disclosed prior to commitment.

6. Taxes

All proposed pilot subscription prices are tax-exclusive. Applicable Canadian federal and provincial sales taxes (GST, HST, PST, QST) apply based on your organization's billing address.

7. Cancellation Policy

Approved pilot participants may cancel their pilot participation in accordance with their written pilot onboarding agreement or through their billing settings once activated. Following cancellation, the workspace remains accessible through the end of the active billing period before transitioning to a read-only archive state.

8. Refund Policy

Except where required by Canadian consumer protection law, subscription fees are non-refundable for partial or elapsed billing intervals. We do not provide prorated refunds upon mid-cycle cancellation.

9. Customer Data & Intellectual Property

Your Data: You retain full and exclusive ownership of all customer records, job files, estimate data, and proprietary supplier price sheets uploaded to your workspace.
Our IP: SummitOS, including its codebase, user interfaces, algorithms, and design system, is the exclusive intellectual property of NEXORA Technologies Corp.

10. Acceptable Use and Security

You agree not to: (a) reverse engineer, decompile, or extract the source code of SummitOS; (b) probe, scan, or attempt to breach our multi-tenant Row-Level Security (RLS) barriers; (c) use the Service for any unlawful or fraudulent purpose; or (d) resell or distribute access to third parties without prior written consent from NEXORA.

11. Limitation of Liability

To the maximum extent permitted by applicable Alberta and Canadian federal law, NEXORA Technologies Corp. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising out of or related to your use of SummitOS. In no event shall NEXORA's total aggregate liability exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
